BALKAN COMPANY FORMATION · BRČKO FOCUS

Bosnia & Herzegovina

Local specifics. A carefully chosen setup.

Bosnia & Herzegovina is part of our Balkan specialization, with particular attention to Brčko District. Its internal jurisdictions are not interchangeable: registration, taxation and administration must be assessed for the precise location. We make those differences part of the recommendation from the start.

BOSNIA & HERZEGOVINA / THE PRACTICAL PICTURE

Before you
make your move.

Start with the practical requirements, then explore the tax details below. This is an outline, not a final checklist: the documents and steps are confirmed for your ownership, activity and circumstances.

Documents
Ownership, director, activity and premises information, founding instrument, signature evidence and capital arrangements. Foreign founders may need translated or legalised documents.
Attendance
Confirm the signing and representation route under the relevant local framework. Banks may require attendance even when incorporation uses a representative.
Setup stages
Location and structure review → local registration documents → competent register and identification steps → accounting and tax access. Banking has a separate review.
Ongoing obligations
Local accounts and corporate-tax obligations, state-level VAT where applicable, plus payroll, fiscalisation and registered-information updates as required.

Registration and banking run on different timelines. Expected stages are agreed after reviewing your documents. Bank checks, translations and additional registrations can affect timing; incorporation does not guarantee an account.

UNDERSTAND THE COST BEFORE YOU COMMIT

One proposal.
The costs separated.

Your proposal identifies the services included, exclusions, third-party costs and recurring obligations. There is no universal price for every founder or activity.

Formation work
The agreed professional work for documents, coordination and registration.
Third-party charges
Applicable registry, notary, translation, legalisation and address charges, identified separately.
Company capital
Any required capital contribution is separate from service fees and the funds needed to operate.
Ongoing support
Accounting, reporting, payroll and renewals are scoped separately, including their billing frequency.

Tell us your activity, where you live and the intended ownership. We’ll clarify what is needed to prepare a tailored proposal.

YOUR NUMBERS / AN INDICATIVE COMPARISON

What could the tax
difference look like?

Estimate annual corporate profit tax in Bosnia & Herzegovina against Germany, the UK, France, Sweden, Austria, Italy and Greece. Change your profit to update all seven comparisons instantly.

Profit-tax comparison only, not total tax savings. German trade tax, Hungarian HIPA and Italian IRAP use separate bases and are excluded. Dividend taxes, payroll and operating costs are also excluded; forming a foreign company alone does not remove home-country tax.

Enter €0–€10,000,000 of profit after deductible expenses, not turnover. We apply the same illustrative tax base in every country.

0.85 is an editable illustration, not a live exchange rate. UK tax is calculated in GBP and converted back to EUR.

Calculation assumptions & sources

2026 rules reviewed 16 October 2026. This compares corporate profit tax, not the total business tax burden. The same hypothetical adjusted taxable profit is used in each country; actual deductions, depreciation, losses and tax bases differ. Values are rounded for display only.

UK: assumes a UK-resident ordinary trading company, a full 12-month period, no associated companies and no distributions increasing augmented profits. The £50,000/£250,000 limits are not adjusted. Marginal relief uses the 3/200 fraction; close investment-holding and ring-fence companies are outside this model.

France: the optional SME band must be independently confirmed. A 3.3% social contribution is added to CIT exceeding €763,000; turnover-based exemptions are not modelled. Exceptional large-company contributions are excluded.

Excluded: Germany’s municipal trade tax, Hungary’s HIPA and minimum tax-base rules, Italy’s IRAP, Austria’s minimum corporate tax, VAT, payroll, shareholder/dividend taxes, special incentives, Pillar Two, advance-payment timing and formation/operating costs. No tax-free distribution or take-home income is implied.

Incorporating abroad does not itself move profits out of your home country. Effective management, permanent establishments, CFC rules, exit taxes and genuine local operations can materially change or eliminate any difference. Obtain qualified cross-border advice before acting; this is not a tax return or a guaranteed savings quote.

Who this can suit

For founders considering a regional company for suitable services, trading or other commercial activities. We assess the planned operation and the appropriate local framework before discussing a formation route.

DOCUMENTS / NON-RESIDENTS / COSTS / TIMING

Opening a company in Bosnia & Herzegovina: practical answers

Compiled . Numeric estimates are attributed below and are not Northbridge prices or completion guarantees. Confirm requirements for the specific founder and activity before proceeding.

Can a non-resident open a company?
Foreign investors generally receive national treatment, subject to statutory sector restrictions. A non-resident founder may establish a company, but ownership does not itself grant work or residence permission. We assess Brčko District specifically rather than applying Federation or Republika Srpska registration rules by analogy.
Which documents should you prepare?
Owner and director identification; corporate registry and signatory evidence for legal-entity owners; ownership chain; proposed name, Brčko registered premises and activity; founding instrument, capital arrangements and signature evidence. Local professionals must confirm the filing checklist, certified translations, legalisation and any power of attorney for the specific case.
What does formation cost?
Request a Brčko-specific breakdown of court or registry charges, capital, document certification, translations, local professional work and registered-office arrangements. Banking, bookkeeping and annual reporting should be shown separately. No independently verified current Brčko all-inclusive price is published here; we do not substitute prices or capital rules from another entity.
How long does it take?
No independently verified current end-to-end Brčko timeframe is published here. The written project plan should distinguish document preparation, court registration, tax access and banking, and explain dependencies. Corporate owners, foreign certifications, additional court requests and bank review can change the schedule; confirm it before booking travel.
What will a bank ask for?
Prepare registration and founding documents, director and ultimate-owner identification, source of funds and a clear account of the intended business, customers and payment countries. Corporate ownership may require a documented chain to the ultimate individuals. Attendance is bank-specific, even when court documents were handled through a representative.
What continues after registration?
Maintain local accounting and financial statements, Brčko corporate-tax filings and relevant owner and company records. State-level VAT applies under its own registration rules; payroll, withholding, fiscalisation and director arrangements require local assessment. The detailed guide below distinguishes Brčko’s obligations from those in the Federation and Republika Srpska.

Registry rules take precedence over external guides. The detailed tax brief below has its own review date; check current taxes, filing deadlines and your home-country position with local advisers.

Three direct-tax frameworks, one country

Bosnia & Herzegovina is not a single company-law and direct-tax jurisdiction. The Federation of Bosnia & Herzegovina (FBiH), Republika Srpska (RS) and Brčko District each have their own corporate-tax, registration and employment-related rules. All three apply a 10% corporate income tax rate, but deductions, incentives, withholding, administration and payroll obligations are not interchangeable.

Our particular focus is Brčko District. Choosing Brčko requires a credible operating and management plan, not just a registered-office label. Activity or a business unit in FBiH or RS can create obligations there as well. VAT and customs, by contrast, are administered at state level by the Indirect Taxation Authority (ITA/UIO).

Brčko: 10% profit tax and a specific dividend distinction

A Brčko resident company is generally taxable on worldwide profits. The base is accounting profit adjusted under the District’s Corporate Income Tax Law. Business documentation and deductibility limits matter: personal expenses and undocumented charges are not deductible, and related-party expenses must be supportable at market value.

Article 29(2)(d) of the Brčko Corporate Income Tax Law excludes dividend income from the withholding-tax regime applying to payments to foreign legal entities. That is a meaningful distinction for a corporate shareholder, not a blanket promise that every owner pays zero tax. Individual shareholders require a separate personal-income-tax review, and the shareholder’s residence country may tax the distribution regardless of Brčko treatment.

A Brčko DOO: formation is a sequence, not a certificate

For a DOO, we establish the ownership, director, activity and right to use the registered premises, then coordinate the founding instrument, signature evidence, capital arrangements and registration with the competent Brčko court/register. Foreign founders need appropriate identity or corporate registry documents, representation evidence and translations or legalisation where required. Capital and signing requirements are confirmed for the number and type of founders rather than copied from FBiH or RS.

Registration and the company identification number are followed by the operating bank account, accounting and relevant tax-system access, employee/director arrangements and any sectoral permits or fiscalisation. A sole entrepreneur is a different legal form with personal liability and a separate tax analysis. It should not be presented as an interchangeable cheaper DOO.

17% VAT: the threshold is BAM 100,000, not 50,000

The country-wide standard VAT rate is 17%. The mandatory registration threshold was increased to BAM 100,000 of relevant annual taxable turnover; older formation guides quoting BAM 50,000 are outdated. Expected turnover and special cases must also be assessed, and voluntary entry has ongoing consequences.

VAT returns and payment are monthly, due by the 10th of the following month. Foreign customers do not automatically make services exempt: the type of service and statutory place-of-supply rule determine the result. Exported goods need customs evidence. Bosnia & Herzegovina is outside the EU VAT territory, so intra-EU rules cannot simply be applied to a Brčko invoice.

Foreign payments and tax credits need a separate check

Brčko’s dividend exemption does not exempt every payment abroad. The Corporate Income Tax Law provides a general 10% withholding rate on covered payments to foreign legal entities, including specified consulting, management, technical and administrative services, royalties and certain interest. Treaty reductions or exemptions depend on the payment and supporting entitlement documents.

The law also provides mechanisms for relief for tax paid in the entities or abroad, subject to statutory conditions, limits and proof of payment. A group service agreement or an overseas supplier invoice should therefore be reviewed before funds leave the company. Treaty relief and transfer pricing are part of the operating model, not an optional year-end exercise.

Incentives must be tied to an actual local project

District investment and employment-support programmes can be relevant to businesses with genuine premises, expenditure or local jobs. Availability depends on the current programme, application window, eligible costs, budget and continuing conditions. We assess incentives separately from ordinary 10% corporate taxation and do not quote an unapproved subsidy as a guaranteed reduction in formation cost.

An export-focused company is not automatically tax-exempt, and registration does not remove home-country tax, beneficial-owner disclosure or information-exchange obligations. The practical advantage has to survive a review of management location, business substance, banking and owner-level taxation.

Brčko’s annual and monthly compliance calendar

Under Article 22 of the District’s Corporate Income Tax Law, the annual corporate-tax return and final payment for a calendar year are due by 31 March of the following year. Monthly corporate-tax advances are generally due by the 10th for the preceding month, based on the previous annual return, with a procedure for adjustment where results change.

Statutory financial statements, any audit requirement, payroll filings, withholding-tax reporting and fiscalisation must be organised under the applicable local rules. Pension and other social-insurance arrangements need specific attention in Brčko; do not reuse an FBiH or RS payroll calculation without checking it. Keep beneficial-owner evidence and registered information current, and confirm the accountant’s separate financial-reporting calendar.

Banking and our pre-formation assessment

Banks review the ultimate owners, management, source of funds, expected countries and counterparties, and contracts or evidence of intended trade. A bank may require attendance even when incorporation documents were signed through a representative. A court registration does not guarantee a bank or payment-provider account.

We establish why Brčko is the appropriate location, where the business will actually operate, how income will be paid to the owner, and which local and state-level registrations are needed. The proposal identifies incorporation, banking preparation and recurring accounting separately. Residency or work permission for foreign directors is a separate assessment, not an automatic company-formation benefit.
