FORMATION COSTS & ONGOING RESPONSIBILITIES

Company Formation Costs in Europe

Understand the difference between registration fees, capital contributions and recurring administration before comparing European company formation proposals.

What should a company formation budget include?

A company formation budget should distinguish professional service fees, government or registry charges, document preparation and ongoing operating expenses. A low advertised registration price may cover only part of the work needed to establish and maintain a company. Northbridge helps founders assess setups in Hungary, Bulgaria, Serbia, Montenegro and Bosnia & Herzegovina. Request a written scope for your chosen jurisdiction rather than comparing headline prices that include different services.

Which costs are usually one-off?

Depending on the jurisdiction and ownership structure, initial work may include preparing incorporation documents, filing an application, translating records and arranging certification. Ask whether tax registration, beneficial ownership filings and initial accounting onboarding are included in the proposal or priced separately. The exact requirements depend on the project. Additional shareholders, corporate owners or regulated activities can introduce extra work, so explain these details before asking for an estimate.

Is share capital the same as a formation fee?

No. Share capital is a contribution to the company, while a formation fee pays for a service or filing. Whether capital must be deposited, when it is due and how the company may use it depend on local rules and the selected legal form. Keep capital funding separate from service charges when planning cash needs. Do not assume a quoted incorporation package includes the funds the company itself needs to operate.

What recurring expenses should you plan for?

A realistic annual budget can include bookkeeping, financial statements, tax filings, registered office arrangements and bank or payment-provider charges. Payroll, VAT reporting and additional administration may apply as the business develops. Ask whether accounting prices depend on transaction volume, employee numbers or reporting frequency. A company with little or no revenue may still have filing duties; inactivity should not be treated as an automatic exemption from local obligations.

What should a banking quote explain?

Banking preparation should describe the assistance being provided and distinguish it from charges imposed by a financial institution. Ask about document support, application coordination and any separate account maintenance or payment fees. A formation package does not guarantee that a bank will approve an application. Your activity, ownership, source of funds and expected transactions can affect the review, so discuss essential payment requirements before committing to a jurisdiction.

How can you compare proposals fairly?

Compare the same company type, ownership structure and expected activity across each proposal. Ask what is included, which third-party charges are separate, whether taxes on service fees are included and what the first year of administration may require. Clarify renewal dates and the work excluded from the engagement. Also consider personal tax residence and home-country reporting: choosing a company abroad does not by itself remove those obligations.

What should you send Northbridge for a tailored estimate?

Share your country of residence, business activity, intended markets, ownership plans and anticipated need for employees or local operations. Explain your preferred jurisdiction and banking requirements if you already have them. This helps our team identify the questions that need local assessment and outline an appropriate scope. You do not need to send identity documents in the first conversation. Fees and timelines are confirmed for the individual engagement, not promised by this guide.
