Hungary vs Bulgaria Company Formation
Northbridge · Published · 3 min read
Hungary and Bulgaria both offer EU company structures to foreign founders. Choosing between them should start with your activity, management location and operating costs, not a one-percentage-point difference in headline corporate tax.
Research date: 19 October 2026. Corporate-tax figures below were checked against the linked PwC references on that date. They are not a personalised tax calculation. Service fees and completion dates require an individual proposal.
Hungary vs Bulgaria: the main tax difference
Hungary’s standard corporate income tax is 9% of the adjusted taxable base. Bulgaria’s standard rate is 10%. Hungary also has a separate local business tax, generally capped at 2%, with a different base. Adding two headline percentages does not produce a reliable effective tax rate, and comparing 9% with 10% alone ignores part of the picture.
The owner’s residence, remuneration, distributions, payroll and VAT treatment can matter more than the initial corporate-rate difference. Management from your home country may create additional obligations there even if the company is registered in Hungary or Bulgaria.
Which company type and documents do you need?
A Hungarian Kft. is a common limited-liability option. In Bulgaria, an EOOD has one owner and an OOD has multiple owners. For either route, prepare founder and director identification, address and ownership details, the proposed activity and local registered-office arrangements.
Hungary requires local legal representation for the electronic court-registration process. Bulgarian formation involves founding documents, manager consent and signature documentation and capital-payment evidence. Corporate shareholders introduce registry extracts, signatory evidence and potentially translated or legalised documents. Ask counsel to confirm the checklist before paying for certifications.
Compare the complete first-year budget
Request separate figures for legal formation, third-party filing charges, share capital, certification, translation, registered office and accounting. Share capital belongs to the company and should not be described as a service fee. Include recurring bookkeeping, annual reporting and any payroll or VAT work in the comparison.
A proposal for a simple individual shareholder is not directly comparable with one covering a foreign corporate owner. Neither country should be chosen using an unverified all-inclusive price copied from an old guide.
Can you register remotely and open a bank account?
A signing or representation route may be available without completing every step in person. That does not bind the bank. Ask separately about the formation process, the capital-account sequence and the operating account. Banks assess ownership, source of funds, expected payments and supporting evidence; attendance or additional documents may be requested.
Which jurisdiction should you choose?
Compare the expected business model in both places: customers, staff, director activity, margins, distributions and the owner’s residence. Hungary may suit one operating plan, while Bulgaria may suit another. There is no universal winner based only on registration or a headline rate.
